There is a one time activation fee of $20.00 and a monthly recurring monitoring fee as shown in Total Monthly Monitoring Cost. This is billed automatically beginning the day of this agreement and continuing each month on the same day until canceled by customer. By entering your credit card details and signing this form, you authorize White Rock AV, and/or its agents, to process and charge the credit card number provided automatically for such charges.
Security Alarm Monitoring Processing and Associated Alarm Permit
New security alarm accounts are made active at the monitoring station within 24 business hours of White Rock AV connecting and activating the alarm system and a monitoring agreement being signed. To make changes to the Call List/Password information on file, please contact our office during normal business hours at 214-206-4349 or email us at office@whiterockav.com with the desired changes. Alarm permits are required by most cities to operate a security alarm. Some cities require an alarm permit be obtained before police are dispatched should an alarm condition occur. Once your alarm permit is obtained you must provide this number to our office so that it can be kept on file in case of an alarm event. It is the sole responsibility of the customer to obtain, renew, and/or pay for any alarm permit(s) required by your local laws and ordinances and to report this alarm permit number to White Rock AV. Most cities have online options available for registering and renewing alarm permits though this varies by city. Once you have received your alarm permit number please contact our office with this number so that we may place it on file. If you have any questions or concerns regarding your permit, please don't hesitate to call or email anytime.
Monitoring Agreement
THIS AGREEMENT IS MADE BY AND BETWEEN White Rock Communications LLC, dba White Rock AV, (“THE DEALER”) AND THE CUSTOMER IDENTIFIED BELOW. THE DEALER AGREES TO PROVIDE OR CONTRACT TO PROVIDE MONITORING SERVICES FOR THE CUSTOMER ON THE TERMS AND CONDITIONS SET FORTH BELOW: 1. TERM, PAYMENT, AND RENEWAL: There will be a one time only activation fee of $20.00. The total service charge for monthly monitoring services is to be paid in advance and is equal to the amount shown in TOTAL MONTHLY MONITORING COST. This includes 8.25% Texas State Sales Tax. This agreement shall have an initial term of 30 days commencing on the date set forth below and shall be automatically renewed from month to month thereafter, unless either party gives written notice to the other of its intentions to terminate this Agreement not less than thirty (30) days prior to the expiration of the original term of any renewal term thereof. THE DEALER may increase the monitoring charges for any renewal period by giving CUSTOMER at least thirty (30) days prior written notice. 2. PAYMENT OPTIONS: Personal check, company check, and credit cards are valid forms of payment. 3. MONITORING SERVICES: Signals from the System installed shall be monitored by THE DEALER’S central office OR by a Monitoring Facility selected by THE DEALER. Any monitoring fees charged by a Monitoring Facility shall be paid by THE DEALER. Upon termination of this Agreement for any reason CUSTOMER authorizes THE DEALER to enter upon CUSTOMER’S premises and disconnect CUSTOMER’S communicator from the monitoring network. 4. RESPONSES TO ALARMS: 4.1 On receipt of an alarm signal from the System of CUSTOMER, THE DEALER or the Monitoring Facility will make every reasonable effort to promptly notify the appropriate police, or fire department, and to make reasonable efforts to notify THE CUSTOMER or his designated representatives by telephone. The monitoring facility reserves the right to verify alarm signals by telephone or otherwise before notifying emergency personnel and may discontinue any particular response service due to governmental or insurance requirements by giving notice in writing to CUSTOMER. 4 .2 TELEPHONE LINES: CUSTOMER shall pay all charges made by any telephone company or other utility for installation, leasing and service charges of telephone lines or equipment transmitting signals from CUSTOMER'S protected premises, and such charges will appear on CUSTOMER'S regular telephone bill. CUSTOMER acknowledges that if THE DEALER utilizes a digital communicator for purposes of transmitting alarm signals from CUSTOMER'S premises that the signals from CUSTOMER'S System are transmitted over CUSTOMER'S regular telephone service, and in the event CUSTOMER'S telephone service is out of order. disconnected. placed on vacation, or otherwise interrupted, signals from CUSTOMER'S System will not be transmitted during any such interruption 1n telephone service and the interruption will not be known to THE DEALER or the Monitoring Facility. 5. RECEIPT OF COPY: CUSTOMER acknowledges receipt of a copy of this agreement. 6. LIABILITY/DISCLAIMER OF WARRANTIES: The DEALER'S does not represent or warrant; that the alarm system may not be compromised or circumvented; that the system or service will prevent any loss by burglary, fire, holdup, or otherwise; that the system or services in all cases provide the security for which they are intended. CUSTOMER acknowledges and agrees that the DEALER had made no representations or warranties, expressed or implied, as to any matte whatsoever, including without limitation, the condition of the equipment, it’s merchantability or its fitness for any particular purpose, nor has the CUSTOMER relied on any representations or warranties, expressed or implied. CUSTOMER further acknowledges and agrees that any affirmation or fact or promise shall not be deemed to create an express warranty, and that there are no warranties which extend beyond the face of this agreement. Hereof CUSTOMER further acknowledges and agrees that the DEALER is not an insurer; that the CUSTOMER assumes all risk of loss or damage to CUSTOMER’s premises or the contents thereof; and that CUSTOMER has read and understands all of this agreement, particularly paragraphs 14 and 15 which set forth the DEALER'S maximum liability in the event of any loss or damage to CUSTOMER or anyone else. 7. LIMITED LIABILITY: CUSTOMER acknowledges that he/she has discussed paragraphs 12 and 13 with the DEALER'S’s agent. 8. FALSE ALARMS: In the event an excessive number of false alarms are caused by CUSTOMER'S carelessness, malicious action, or accidental use of the System, or in the event CUSTOMER In any manner misuses or abuses the System, THE DEALER may In its sole discretion deem same to be a material breach of contract on the part of CUSTOMER and, at Its option, In addition to all other legal remedies set forth below, be excused from further performance upon the giving of ten (10) days written notice to CUSTOMER. THE DEALER'S excuse from performance shall not affect its right to recover damages from CUSTOMER. In the event that THE DEALER dispatches an Agent to respond to an alarm originating from CUSTOMER'S premises where CUSTOMER has Intentionally, accidentally or negligently activated the alarm system and no alarm condition exists, Then CUSTOMER shall pay to THE DEALER a reasonable sum based upon THE DEALER'S then prevailing labor rate for each such response. In the event that a fine, penalty, or fee Is assessed against THE DEALER by any governmental or municipal agency as a result of any alarm originating from CUSTOMER'S premises. CUSTOMER agrees to forth with reimburse THE DEALER for same. CUSTOMER represents he/she fully understand that the equipment, because of its sensitivity and nature, Is subject to the Influence of external events which are not within the control of THE DEALER and which may cause the alarm to activate. Any or all of such alarms shall not excuse any of the obligations of CUSTOMER as set forth in this Agreement. 9. TIME AND MATERIAL SERVICE: At the expiration of THE DEALER limited warranty, if any, all repairs, including parts and labor, shall be at CUSTOMER'S expense and shall be performed Monday through Friday, excluding national holidays, between 8:00am and 5:00pm. Service work performed at other times shall be at THE DEALER'S premium rate. CUSTOMER agrees to pay for all materials, parts, and labor used for said repairs, tests, or inspections upon completion of the work. 10. INTERRUPTION OR SUSPENSION OF SERVICE: THE DEALER assumes no liability for Interruption of monitoring and/or maintenance service due to strikes, riots, floods, storms, earthquakes, fires. power failure, insurrection, interruption or unavailability of telephone service to CUSTOMER while an interruption of service due to any such cause may continue. This Agreement and all services may be suspended or cancelled, without notice al the option of THE DEALER, If THE DEALER'S or CUSTOMER'S premises or equipment are destroyed by fire or other catastrophic event, or so substantially damaged in that it is Impractical to continue service, or in the event THE DEALER is unable to render service as a result of any action by any governmental authority. Upon termination of this Agreement for any reason, CUSTOMER shall permit THE DEALER to enter upon CUSTOMER'S premises and disconnect the System from the Monitoring Facility's signal receiving station. 11. INCREASE IN TAX, UTLITY CHARGES OR MONTHLY SERVICE: CUSTOMER acknowledges that all charges set forth herein are based on existing federal, slate, and local taxes and utility charges, including telephone company line charges, if any. THE DEALER shall have the right, at any time, to increase the monthly charges provided herein to reflect any additional taxes, fees, or charges which hereafter may be imposed on THE DEALER by any utility, police department, fire department, or governmental agency relating to the services(s) provided under the terms of this Agreement, and CUSTOMER agrees to pay same. 12. CUSTOMER'S DUTIES AS TO USE OF SYSTEM: 12.1 CUSTOMER shall carefully and property test and set the System immediately prior to the securing of the premise and carefully test the signal system no less than monthly during the term of this Agreement. If any defect in the operation of the System develops, or in the event of a power failure or other interruption of CUSTOMER'S premises, CUSTOMER shall notify THE DEALER immediately. If space protection (i.e.' Ultra-Sonic, Microwave, Infra-Red, etc.) is part of said System, CUSTOMER shall walk test the System each day in the manner recommended by THE DEALER. 12.2 When any device or protection is used, including but not limited to space protection, which is affected by turbulence of air, occupied airspace change, or other disturbing conditions, CUSTOMER shall tum off or remove all things, animate or inanimate, including but not limited to all forced air heaters, air conditioners, horns, bells, animals, or any other sources of air turbulence or movement which may interfere with the effectiveness of the System during closed periods. CUSTOMER shall notify THE DEALER of any remodeling or other changes to the protected premise that may affect the operation off the System. 12.3 CUSTOMER agrees to furnish forthwith a written list of the names, titles, addresses, phone numbers, and signatures of all persons authorized to enter or remain on the premise and/or be notified in the event of an alarm. All changes, revisions, or modifications to the above shall be supplied in writing. 12.4 CUSTOMER shall retain and pay for all licenses, permits, and other charges imposed by any governmental agency necessary for the operation of the System. 13. THE DEALER IS NOT AN INSURER; LIQUIDATED DAMAGES; LIMITATION OF LIABILITY: It is understood and agreed: that THE DEALER is not an insurer; that insurance, if any, shall be obtained by CUSTOMER; that the payments provided for herein are based solely on the value of the System and service set forth herein. That THE DEALER makes no guaranty or warranty, including any implied warranty of merchantability or fitness, that the equipment or services supplied will avert or prevent occurrences or the consequences there from which the System or service is designed to detect or avert. CUSTOMER acknowledges that the ii is impractical or extremely difficult to fix the actual damage, if any, which may proximately result from THE DEALER'S active, passive, or gross negligence, or from a failure to perform any of the obligations herein, including, but not limited to, installation, alarm response, repair, monitoring, or the failure of the System to property operate with resulting loss lo CUSTOMER because of among other things: (a) The uncertain amount or value of CUSTOMER'S property or the property of others kepi on the premises which may be lost, stolen, destroyed, damaged, or otherwise affected by occurrences which the System or service is designed to detect or avert; (b) The uncertainty of the response lime of any police or fire department, paramedic unit or alarm response agent, that should be dispatched as a result of a signal being received or an audible device sounding; (c) The inability to ascertain what portion, if any, of any loss would be proximally caused by THE DEALER'S failure to perform or by its equipment 10 operate; (d) The uncertain nature of occurrences which might cause injury or death to CUSTOMER or any other person which the System or services are designed to detect or avert; (e) The nature of the service to be performed by THE DEALER. CUSTOMER understands and agrees that if THE DEALER should be found liable for loss or damage due from THE DEALER'S active, passive, or gross negligence, or from failure of THE DEALER to perform any of the obligations herein, including, but not limited to, installation, repair, monitoring, alarm response, or service, of the failure of the service or equipment in any respect whatsoever. THE DEALER'S liability shall be limited to Two Hundred Dollars ($200.00) or one half of the annual service charge, whichever is less, liquidated damages and not as a penalty and this liability shall be exclusive; and that the provisions of this section shall apply if loss or damage, irrespective of cause of origin, results directly or indirectly lo persons or property, from performance or non-performance of the obligations imposed by this Contract, or from negligence, active or otherwise, of THE DEALER, its agents, servants, assigns, or employees. 14. THIRD PARTY INDEMNIFICATION: When CUSTOMER in the ordinary course has the property of others in his/her custody, or the System extends to protect the property of others, CUSTOMER agrees to and shall indemnify, defend and hold harmless THE DEALER, its employees and agents for and against all claims brought by parties other than the parties to this Agreement. This provision shall apply to all claims regardless of cause, including THE DEALER'S performance or failure to perform and including defects in products, design, installation, repair, operation or non-operation of the System, whether based upon active, passive, or gross negligence, warranty, contribution, indemnification of strict or product liability on the part of THE DEALER. while on CUSTOMER'S premises. 15. ASSIGNEES/SUBCONTRACTORS: THE DEALER shall have the right to assign the Agreement t any other persons, firm or corporation without notice to CUSTOMER and shall have further right to subcontract any monitoring or other services which it may perform. CUSTOMER acknowledges this Agreement and particularly those paragraphs relating to THE DEALER'S maximum liability, and third-party indemnification, insure to the benefits of and are applicable to any assignees and/or subcontractors of THE DEALER, and that they bind CUSTOMER with respect to said assignees and/or subcontractors with the same force and effect as they bind CUSTOMER to THE DEALER. 16. SUBROGATION: So far as it is permitted by CUSTOMER'S property insurance coverage, CUSTOMER hereby releases, discharges, and agrees to hold THE DEALER harmless from any and all claims, liabilities, damages, losses or expenses, arising from or caused by any hazard covered by insurance in or on the CUSTOMER'S premises whether said claims are made by the CUSTOMER, his/her agents, or insurance company or other parties claiming under or through CUSTOMER. CUSTOMER agrees to indemnify THE DEALER against, defend and hold THE DEALER harmless from any action for subrogation which may be brought against THE DEALER by an insurer or insurance company or it’s agents or assigns including the payment of all damages, expenses, costs and attorney's fees. CUSTOMER shall notify his/her insurance carrier of the terms of this provision. 17. LIMITATION OF ACTIONS; WAIVER OF JURY TRIAL: Both parties hereby agree that no suit or action that relates in any way to this Agreement (whether based upon contract, negligence or otherwise) shall be brought against the other more than one (1) year after the accrual of the cause of action therefore. In addition, both parties hereby waive any rights to a jury trial in any judicial action brought by either party which relates in any way to this Agreement (whether based upon contract, negligence or otherwise). 18. DELINQUENCY; RECONNECT CHARGES: In the event any payment due hereunder is more than ten (10) days delinquent, THE DEALER may impose and collect a late charge on the amount of the delinquency at the maximum rate then permitted by law. If the System is deactivated because of CUSTOMER'S past due balance, and if CUSTOMER desires to have the System reactivated, CUSTOMER agrees to pay in advance to THE DEALER a reconnect charge to be fixed by THE DEALER in a reasonable amount. CUSTOMER agrees to pay reasonable collection, attorney and/or agency fees necessary to obtain collection of delinquent payments. DEALER or assignee may report delinquency to credit reporting agency. 19. CHANGE OF OWNERSHIP OF CUSTOMER'S PREMISES: CUSTOMER acknowledges that the sale or transfer of CUSTOMER'S premises shall not relieve CUSTOMER of his/her duties and obligations under this Agreement. CUSTOMER may not assign or permit anyone to take subject to the 'Agreement without the prior written connect of THE DEALER. 20. DISCONNECT CHARGES; REMOVAL OF SYSTEM: CUSTOMER acknowledges that if the System Is disconnected from THE DEALER'S central office of the Monitoring Facility there will be a disconnect charge at THE DEALER'S prevailing standard service rate. Balance of this term of agreement is due in full.
